Rover Metals Announces Results of Expanded Phase 1 Surface Exploration Program at Its LGL Lithium Project, Nevada, USA

VANCOUVER, BC / ACCESSWIRE / September 7, 2023 / Rover Metals Corp. (TSXV:ROVR)(OTCQB:ROVMF)(FSE:4XO) (“Rover” or the “Company“) is pleased to announce that further to its release of August 1, 2023, management of the Company, including Mr. James Ingraffia, have completed a successful field visit and surface sampling program at the Let’s Go Lithium (“LGL”) project, NV, USA.

Summer 2023 Work Program
Management, including Mr. Ingraffia, spent a week in the field this summer at the LGL program. The purpose of the field visit was to orient Mr. Ingraffia with the project as well as confirm previously reported high-grade lithium surface samples at the project, with the goal of starting work on a geological map of the clay body at LGL. Mr. Ingraffia will work with Rover’s CEO, in the coming weeks and months, on a Plan of Operations For Exploration and any necessary environmental assessment that may be required under the U.S. National Environmental Policy Act (“NEPA”).

James Ingraffia
James is a senior lithium geologist specializing in Nevada. Mr. Ingraffia is the founder of Lithium Arrow LLC. He has seven years of experience in lithium economic geology, and is a highly trained specialist in lithium claystone and experienced in lithium brines and pegmatites. He got his start with the United States Geological Survey in lithium brine and claystone geochemistry, in partnership with Pure Energy Minerals before its purchase by Schlumberger. He then characterized the Thacker Pass lithium claystone deposit, from the atomic to kilometer scale, and published the results in partnership with Lithium Americas Corporation and the Nevada Bureau of Mines and Geology. He holds a Master’s Degree of Geology, with training in Business Administration, from the University of Nevada Reno and a Bachelor’s of Geology from California State University Northridge. Mr. Ingraffia is based in Reno, NV.

Surface Sampling Results
The results of Mr. Ingraffia’s surface sampling work is provided in the below table. Lithium grades have been analyzed using a SkiAps 903 Handheld Laser Induced Breakdown Spectroscopy (“HH LIBS”):

A SkiAps LIBs 903 analyzer was used to assay these samples. The QA/QC protocols for the LIBs are as follows: (a) it was calibrated for Claystones; (b) it was tested on a known Claystones lithium sample prior to fieldwork; and (c) the field samples were shot in a controlled environment, inside, with proper cleansing of the lens, and sample separation. The highest grades were shot several times to try to eliminate any nugget affect; (d) fine ground particulates were not tested, so no pucking was necessary.

Rover Metals to Pursue Plan of Operations at Let’s Go Lithium Project NV, USA

(TSXV: ROVR) (OTCQB: ROVMF) (FSE:4XO) (“Rover” or the “Company”) has been notified by the U.S. Bureau of Land Management that it must complete a plan of operations prior to commencing any exploration drilling at its Let’s Go Lithium (“LGL”) project in rural Nevada.

Starting this week, the Company will begin to interview suitable environmental consulting firms to assist the Company with its Plan of Operations For Exploration and any necessary environmental assessment under the National Environmental Policy Act (“NEPA”). The NEPA process will include public engagement. The Company will provide an updating release once it has engaged an environmental consulting firm.

Let’s Go Lithium Underlying Option Agreement
The vendor of the LGL project, GenGold2, LLC, has agreed to give certain concessions with regards to the timing and the amounts of future option payments as a result of the BLM requirement. An updating news release will be provided once the company has amended its Option Agreement for the LGL project.

Rover Metals Arranges Second Closing of $0.08 Unit Financing

VANCOUVER, British Columbia, July 20, 2023 (GLOBE NEWSWIRE) — Rover Metals Corp. (TSXV: ROVR) (OTCQB: ROVMF) (FSE:4XO) (“Rover” or the “Company”) is pleased to announce that further to its release of June 23, 2023, Rover has received additional orders of $177,000 for its $0.08 Unit Financing. The Company has received approval from the Toronto Venture Exchange (the “TSXV”) to close the second tranche of the Unit financing for gross proceeds of $177,000 (the “Second Closing”). The Company will issue 2,212,500 common shares and 2,212,500 warrants. Finders’ commissions are being paid in connection with the Second Closing in the amount of cash commissions of $6,200 and finders’ warrants of 77,500. The finder’s warrants will have an exercise price of $0.12 and a useful life of two and half (2 ½) years. The shares and warrants issued under the Second Closing will bear the minimum four-month regulatory hold period from the date of issuance. The Company has now raised a total of $677,000 under the first two closings of its financing.

The financing has been led by experienced lithium investors from Europe and Australia.

An updating release will be provided once the Company has completed any future closings of the unit financing, including receipt of final acceptance from the TSXV for the financing.

Use of Proceeds
The proceeds from the Second Closing will be used for general and administrative expenses.

ROVER METALS RECEIVES EXPLORATION DRILL PERMIT FOR NEVADA LITHIUM PROJECT

(TSXV: ROVR) (OTCQB: ROVMF) (FSE:4XO) (“Rover” or the “Company”) is pleased to announce that it has it received its exploration drill permit from the Bureau of Land Management (“BLM”) to further exploration at its Let’s Go Lithium (“LGL”) project, NV, USA.

Let’s Go Lithium Project
The LGL project is located on approximately 6,000 acres of BLM land within the prolific southwest Nevada claystone lithium jurisdiction. The BLM permit allows for up to 30 drill holes to a depth of up to 90 meters per hole. The LGL project is located 12 km east-northeast of the historic Franklin Wells hectorite mine. The project includes green energy infrastructure of hydro power lines on site, direct road access, and a nearby town with a readily available work force. The Company is planning an RC drill program to follow-up on the high-grade lithium surface samples (see Phase 1 Exploration below) taken on the project in 2022.

Phase 1 Exploration at LGL – 2022
In H2-2022, the Company, through the vendor of the LGL project, and through ALS Laboratories, verified high-grade lithium surface samples at the project. Highlights of these surface grab samples processed by ALS Laboratories include: Sample# AMZ-8 of 780ppm Li, Sample# AMZ-26 of 910ppm Li, and Sample# AMZ-28 of 710ppm Li. The Company has pulled additional surface grab samples from the project and analysed them with a Handheld Laser Induced Breakdown Spectroscopy (“HH LIBS”). Highlights of the HH LIBS include: 1,218 ppm Li, 778 ppm Li, 724 ppm Li, and 707 ppm Li. Historic water well drill logs spread across the LGL project suggest an average thickness of the clay beds to be approximately 105 meters.

Regional Geology
LGL is located just 12 km away from the historic Franklin Wells hectorite (a rare lithium smectite mineral) deposit. Mining at Franklin Wells dates back to the 1920’s. The regional geology of the Amargosa Valley is a basin-and-range structure with the Greenwater Range and Funeral Mountains to the west and the Amargosa Desert to the east. The Greenwater/Funeral mountains are fault-controlled with narrow interior valleys and are bounded by broad, coalescing alluvial fans. The Greenwater/Funeral mountains are composed of lower Paleozoic marine and metamorphic rocks. LGL is located in a large basin of clay rich Tertiary lakebed sediments, the major host rock for the other lithium claystone deposits in the southwest Nevada lithium jurisdiction.

Later-stage company comparable claystone lithium projects in southwest Nevada include Century Lithium Corp.’s Clayton Valley project; American Lithium’s TLC project; Spearmint Resources’ McGee project; Noram Lithium’s Zeus project, and Nevada Lithium’s Bonnie Claire project. All of the aforementioned companies are later-stage mining companies, with a NI 43-101 resource calculation.

The Company has appointed John Zimmerman and Don Merrick to its advisory board. John and Don will help lead the technical team in Nevada and provide continued business development for new lithium opportunities in the U.S.

John Zimmerman has an BS in Geology from the University of California at Davis and an MS in Geology from the University of Arizona, and has been active in western US mineral exploration for over 40 years. He was the co-discoverer of the Chimney Creek (Twin Creeks) Mine, a 20 million oz. gold deposit, and as a result has an enviable reputation in the Industry. He is an expert in western US gold and lithium exploration and has been a consistent generator of quality exploration opportunities in in the US exploration and elsewhere. Mr. Zimmerman has been active in all phases of mineral exploration including strategy, planning, budgeting, property evaluation, and project generation. He has contributed to the success of several prosperous explorers including Newmont, Goldfields Mining, and Meridian Gold. Most recently, he directed all Great Basin gold exploration of BHP Minerals International. In addition to Nevada, he has worked in China and South America. Merrick and Zimmerman were the co-owners of Genesis Gold Corporation and built it into a success which they sold for several million dollars in 2020.

Don Merrick has been active in Great Basin gold exploration for over 40 years and has been involved in several successful exploration efforts. For 12 years, Mr. Merrick was the primary project generator and evaluator for BHP Minerals International in the Great Basin. Since leaving BHP, he has done grubstake generative work for Gold Fields and Kennecott, optioning properties to Gold Fields, Western Mining, and MK Gold. Most recently, he helped found Gateway Gold Corp., where as VP Exploration he discovered over 2.4 million ounces of gold. As a prospect generator, he has generated quality prospects for numerous other mining companies, including: Newmont, Barrick, Asarco, Plexus, Santa Fe Gold, Euro-Nevada, Gold Fields, Metalla Royalty and EMX Royalty. In addition to Nevada, he has work in Central America, China, and Russia.

Pursuant to the Zimmerman and Merrick advisory appointments, each will receive a stock option grant of 350,000 stock options with an exercise price of $0.12 under the standard terms of the Company’s stock option plan, which provides for a four-year life.

Re-pricing of Insider Stock Options
On March 28, 2023, the Company held its annual general and special meeting of its shareholders. Included in the agenda for the meeting was the re-pricing of issued and outstanding Insider stock options, on a post-consolidation basis, as a result of the Company’s six-for-one share consolidation that was effective October 28, 2022. Pursuant to the Toronto Venture Exchange’s (the “TSXV”) policies, the Company did receive majority approval from disinterested shareholders to re-price Insider stock options. Southwest Nevada Claystone Jurisdiction
In the past six months, both Cypress Development Corp. (Sep-2022) and American Lithium Corporation (Jan-2023) have reported on the recovery of battery grade lithium carbonate from their respective claystone lithium projects in southwest Nevada. Additionally, on January 16, 2023, feasibility-stage Ioneer Ltd. announced the finalization of a conditional commitment for a proposed loan of USD700 million from the U.S. Department of Energy Lian Programs Office.

Judson Culter, CEO at Rover Metals, states “claystone lithium mining continues to disrupt an industry that is trying to reinvent itself to become more environmentally friendly and sustainable. Mining of claystones uses less water than traditional brine lithium mining. The majority of the claystone lithium projects are also nearer to surface then hard rock lithium projects, and as a result, are less intrusive to underground ecosystems. Additionally, claystone operations require a more simplified mining circuit to process lithium as compared to hard rock operations. Innovations in claystone mining being made by later-stage companies like Cypress Development Corp. and American Lithium Corporation continue to decrease the cash cost per production tonne of Lithium Carbonate (Li2CO3). Cypress Development’s prefeasibility study (dated August 5, 2020 and amended March 15, 2021) for its Clayton Valley Project, NV, estimates the cash production per tonne of lithium to be approximately USD3.500 per tonne. Historic brine lithium mining operations typically have a cash cost per tonne of between USD2,500 – USD4,000 tonne1, putting Cypress Development’s claystone project will within industry standards.

Rover Metals’ Let’s Go Lithium project is an early stage comparable to both the TLC project and the Clayton Valley project. The claystone at LGL is at and near surface, extending to an average depth of approximately 100 meters. The LGL project is also located close to the historic Franklin Wells hectorite mine (see map link above) which has documented historic high-grade lithium production2. Exploration work done at LGL to date also logs the claystone body to be well above important underground ecosystems in the area. In H2 of 2022, Rover Metals reported on some very prospective surface grab samples from the LGL project. The Company’s next phase of exploration will be a maiden reverse circulation drill program at LGL, subject to permit approval from the Bureau of Land Management.

(TSXV: ROVR) (OTCQB: ROVMF) (FSE:4XO) (“Rover” or the “Company”) announces that is has received approval from the Toronto Venture Exchange (the “TSXV”) to re-price issued and outstanding stock options granted to arm’s length consultants of the Company. Also, further to its news release of January 3, 2023, the Company has received approval from the TSXV to re-price and extend the lives of warrants issued under previous private placements.

Terms of the Stock Option Repricings
On a post-consolidation basis (see October 28, 2022 release), the Company has 208,332 stock options outstanding, with an exercise price of $0.36. The Company has amended the exercise price to $0.15 per option share.

On a post-consolidation basis, the Company has 58,333 stock options outstanding, with an exercise price of $0.39. The Company has amended the exercise price to $0.15 per option share.

On a post-consolidation basis, the Company has 50,000 stock options outstanding, with an exercise price of $0.45. The Company has amended the exercise price to $0.15 per option share.

Pursuant with TSXV policies, the warrants now have an acceleration clause such that if the closing price for the Company’s shares are 25% higher then the exercise price (or greater) for a period of 10 consecutive trading days, then the warrant holders will have 30 days to exercise their warrants; otherwise, the warrants will expire on the 31st day.

Terms of the Warrant Re-pricing Application

On a post-consolidation basis (see October 28, 2022 release), the Company has 3,272,719 common share purchase warrants outstanding, from previous private placement financings, with an exercise price of $0.45 (the “$0.45 Warrants”). The Company is applying to amend the $0.45 Warrants such that these warrants will have their useful lives extended to May 2025, and have their exercise price re-priced down to $0.20 per warrant share.

On a post-consolidation basis (see October 28, 2022 release), the Company has 1,382,503 common share purchase warrants outstanding, from previous private placement financings, with an exercise price of $0.72 (the “$0.72 Warrants”). The Company is applying to amend the $0.72 Warrants such that these warrants will have their useful lives extended to May 2025, and have their exercise price re-priced down to $0.20 per warrant share.

On a post-consolidation basis (see October 28, 2022 release), the Company has 6,517,037 common share purchase warrants outstanding, from previous private placement financings, with an exercise price of $0.90 (the “$0.90 Warrants”). The Company is applying to amend the $0.90 Warrants such that these warrants will have their useful lives extended to May 2025, and have their exercise price re-priced down to $0.15 per warrant share.

LGL is located just seven and half miles (12 km) away from the historic Franklin Wells hectorite (a rare lithium smectite mineral) deposit. Mining at Franklin Wells dates back to the 1920’s. The regional geology of the Amargosa Valley is a basin-and-range structure with the Greenwater Range and Funeral Mountains to the west and the Amargosa Desert to the east. The Greenwater/Funeral mountains are fault-controlled with narrow interior valleys and are bounded by broad, coalescing alluvial fans. The Greenwater/Funeral mountains are composed of lower Paleozoic marine and metamorphic rocks. LGL is located in a large basin of clay rich Tertiary lakebed sediments, the major host rock for the other lithium claystone deposits in the southwest Nevada lithium jurisdiction. Historic water well drill logs spread across the roughly 6,000 acres of the LGL claim package suggest an average thickness of the clay beds of approximately 350 feet (~100 meters).
