Rover Signs Definitive Option Agreement for Nevada Lithium Project

Vancouver, British Columbia – (November 17, 2022) – Rover Metals Corp. (TSXV: ROVR) (OTCQB: ROVMF) (FSE:4XO) (“Rover” or the “Company”) announces that further to its release of September 20, 2022, it is pleased to announce that it has now signed the definitive agreement to option a 100% ownership interest in a claystone lithium project (the “Option Agreement”) located in the southwest lithium jurisdiction of the state of Nevada, USA. The Option Agreement is dated with an effective date of November 16, 2022. The land package under option is a district scale lithium claystone deposit situated on Bureau of Land Management land. The Option Agreement is subject to final approval by the Toronto Venture Exchange (the “TSXV”). An updating release will be provided once the Company has received TSXV approval.

On November 26, 2022, the Company also announced the first closing of $376,000 under its current financing. The use of proceeds of which will include furthering the development of our new Nevada Lithium project.

Let’s Go Lithium Property
The Let’s Go Lithium property is located in Nevada’s famous southwest lithium jurisdiction and is approximately 6,000 acres in size. The Company, through the vendor of the project, and through ALS Laboratories, has verified high-grade lithium surface samples at the project. Highlights of these surface grab samples processed by ALS Laboratories include: Sample# AMZ-8 of 780ppm Li, Sample# AMZ-26 of 910ppm Li, and Sample# AMZ-28 of 710ppm Li. The Company has pulled additional surface grab samples from the project and analysed them with a Handheld Laser Induced Breakdown Spectroscopy (“HH LIBS”). Highlights of the HH LIBS include: 1,218 ppm Li, 778 ppm Li, 724 ppm Li, and 707 ppm Li.

The project includes green energy infrastructure of hydro power lines, and has direct road access, and a nearby town with a readily available work force.

Later-stage comparable claystone lithium projects include Cypress Development’s Clayton Valley project; American Lithium’s TLC project; Noram Lithium’s Zeus project, and Iconic Minerals’ Bonnie Claire project. All of the aforementioned companies are later-stage mining companies, with a NI 43-101 resource definition. Rover’s Nevada Lithium project is greenfields in nature, with no drilling to date. Historic water well drilling at the Let’s Go Lithium property by the USGS indicates that the claystone is near to surface, and over 90 meters in average thickness.

Summary of First Year Commitments Under the Option Agreement
The Company’s earn-in to a 100% ownership of the claystone lithium project calls for USD200,000 in exploration expenditures within 24 months of the signing of a definitive agreement and a common share payment of USD25,000 worth of the Company’s common shares to be made on January 31, 2023.

Technical information has been approved by David White, P.Geo., QP for the purposes of NI 43-101. ALS Laboratories is ISO/IEC 17025:2017 and ISO 9001:2015 certified.

Rover Metals Announces and Arranges $0.08 Unit Financing

VANCOUVER, British Columbia, Nov. 16, 2022 (GLOBE NEWSWIRE) — Rover Metals Corp. (TSXV: ROVR) (OTCQB: ROVMF) (FSE:4XO) (“Rover” or the “Company”) is pleased to announce a non-brokered private placement financing for a minimum of $350,000 and a maximum of $800,000. The Company will issue $0.08 units. Each unit is priced at $0.08 and is comprised of one common share and one common share purchase warrant (the “Units”). The warrants on the Units have an exercise price of $0.12 per warrant share, and a life of two and half (2 ½) years. Assuming the financing is fully subscribed, there will be up to 10,000,000 common shares and 10,000,000 common share purchase warrants issued in connection with this financing, plus any finder’s commission warrants.

Further to the above announcement, Rover has also now received approval from the Toronto Venture Exchange (TSXV) to close the first tranche of the Unit financing for gross proceeds of $376,000 (the “First Closing”). The Company will issue of 4,700,000 common shares and 4,700,000 warrants. Finders’ commissions are being paid in connection with the First Closing in the amount of cash commissions of $13,312.50 and finders’ warrants of 266,250. The finder’s warrants will have an exercise price of $0.12 and a useful life of two and half (2 ½) years. The shares and warrants issued under the First Closing will bear the minimum four-month regulatory hold period from the date of issuance.

An updating release will be provided once the Company has completed the Unit financing.

Shares for Services Agreement
The TSXV has also approved a common shares for services issuance pursuant to a previously approved consulting agreement with one of the Company’s former arm’s length advisors. Services in the amount of $22,500 for the three-month period from July 1, 2022 to September 30, 2022 will be paid through the issuance of 187,500 common shares at a deemed price of $0.12 per share. The arm’s length advisory agreement expired effective September 30, 2022. The shares will bear the minimum four-month regulatory hold period from the date of issuance.

Rover Metals Launches New Website Showcasing Pivot to Critical Minerals

(TSXV: ROVR) (OTCQB: ROVMF) (FSE:4XO) (“Rover” or the “Company”) further to its release of August 16, 2022, Rover is pleased to announce the launch of its new website showcasing the pivot by the Company into critical minerals. On August 16, 2022, the Company announced its intent to option a 90% ownership interest in the Indian Mountain Lake VMS project, NT, Canada.

Indian Mountain Lake VMS Project
The Indian Mountain Lake VMS Project has had exploration dating back to the 1940s and has a historical resource spread across four zones on the project. The BB Zone and Kennedy Lake Zone have a combined historic resource of 1,400,000 tons grading 10% combined zinc and lead with 3.5 OPT (ounces per ton) of silver*. Approximately 900 metres west of the BB Zone, the Kennedy Lake West Zone has a historic resource of 610,000 tons grading 1.15% copper*. About 8 km southeast of the BB Zone, the Susu Lake Zone, has a historical resource consisting of 142,500 tons grading 0.95% copper*.

The property is located approximately 195 km east-northeast of Yellowknife, NT, off the eastern arm of Great Slave Lake. Seasonal access relies upon fixed or rotor wing support. A right of way was cleared to the project from Thompson Landing in the 1970s. If this right of way were to be brushed out it would provide barge access at Thompson Landing, from Yellowknife, with ground transportation, considerably lowering any logistical costs. Future Government of Canada federally funded hydro-energy infrastructure could come close to the project if the Taltson Hydro Dam expansion proceeds through the eastern arm of Great Slave Lake into Yellowknife. At the southwest-end of Great Slave Lake, Osisko Metals is gearing up to reopen the Pine Point Zinc-Lead Mine. At nearby Hay River, NT, there is a rail line to the Teck Resources Zinc Refinery in Trail, BC.

*These resources are historic in nature. Further drilling is needed to bring them up to CIM Definition Standards. The historic data has not been verified by Rover. The historic information is provided in the 2103 Assessment Report for Indian Mountain Lake which is in public record with the Government of the Northwest Territories.

The Services Agreement calls for monthly advisory services of $7,500 to be settled through the issuance of common shares in the Company for a three-month period beginning July 1, 2022 and ending on September 30, 2022. Thereafter, for the final three months of the contract, the monthly fee shall revert to $5,000 per month, with up to 50% of the $5,000 monthly fee to be settled in common shares of the Company, at the option of the Company. The share issuances shall be made on a quarterly basis, and the conversion price shall be the higher of: (1) closing price on the last trading day of the calendar business quarter, or (2) the five day VWAP at the end of the quarter. In connection with TSXV policy, the conversion price shall not be lower then $0.05 per share.

(TSXV: ROVR) (OTCQB: ROVMF) (FSE:4XO) (“Rover” or the “Company”) is pleased to announce the start of its Phase 1 Exploration Program at its 100% owned Tobin Gold Project, Winnemucca, NV, USA. Rover has engaged a renowned Carlin gold geologist to assist in the planning of the Phase 1 program.

Tobin Gold Project
In February 2022, Rover acquired a 100% interest in the Tobin Gold Project (“Tobin”), which is comprised of 68 claims within BLM land, for a total of 1,405 acres (or 569 hectares). Tobin is a Carlin-style gold system set in Mesozoic rocks. The project is located about 40 km from the operating Phoenix Gold Mine, which is owned by Nevada Gold Mines, a joint venture between Newmont and Barrick. Tobin is also located about 60 km from i-80 Gold’s Lone Tree Gold Mine, 50 kms from SSR’s Marigold Mine and is in close proximity to other proven gold deposits owned by i-80 Gold, SSR Mining, and Kinross. The property sits in the historical Mt. Tobin mercury district within an area of widespread silicification and banded chalcedony veins over an area of several square kilometers. Both structural and strata bound jasperoids are present in the adjoining Triassic and Paleozoic carbonate and fine-grained clastic sediments along the range-front structure as well as higher in the range. The prospect area was identified during a BLEG stream sediment sampling program. Follow up rock chip sampling along and above the range front confirmed that there are multiple structures carrying mineralization. Gold values run as high as 2.3 g/t Au, with many samples having gold content between 200 ppb Au and 1000 ppb Au. Pathfinder elements run as high as 200 ppm Sb, 1100 ppm As and 29 ppm Hg. Mineralization at the Tobin Project appears to be localized along two subparallel trends. The first is the range-front fault, and the second is structural zone located several tens of meters above the valley that trends somewhat obliquely to the range-front. To date, the better mineralized rocks were largely collected from this second structure located higher on the mountain front.

VANCOUVER, British Columbia, April 26, 2022 (GLOBE NEWSWIRE) — Rover Metals Corp. (TSXV: ROVR) (OTCQB: ROVMF) (FSE:4XO) (“Rover” or the “Company”) further to its release of March 21, 2022, the Company is pleased to announce the second closing of its $0.05 Unit Financing for gross proceeds of $467,500.00 (“the Second Closing”).

$0.05 Unit Financing
The Second Closing of $467,500.00 is comprised of the sale of $0.05 units in the amount of $412,500.00 and the sale of $0.055 flow-through shares in the amount of $55,000.00. The Company has issued 8,250,000 common shares and 4,125,000 common share purchase warrants as a result of the sale of $0.05 units. The warrants have an exercise price of $0.075 and a useful life of three years. The Company has also issued 1,000,000 common shares from the sale of flow-through common shares. Finders’ commissions are being paid in connection with the Second Closing in the amount of cash commissions of $13,125.00 and finders’ warrants of 255,500. The finder’s warrants will have an exercise price of $0.075 and a useful life of three years. The common shares and warrants issued under the Second Closing will bear the minimum four-month regulatory hold period from the date of issuance.

Use of Proceeds
The use of proceeds from the Second Closing will be to finance Phase 3 Exploration at the Company’s 100% owned Cabin Gold Project. The Company now has plans to expand its Phase 3 Exploration Program to include:

  1. Metallurgical testing of its drill core to determine potential recovery rates from the Fortune Minerals’ NICO test pilot processing facility, which will be located 40km northwest of the Cabin Gold Project.
  2. Re-sampling of the holes drilled at the Beaver Zone in 2021, using the metallic screen fire assay method. The metallic fire assay method is effective when sampling to determine coarse and fine gold.

Appointment of Advisors
Gary MacDonald has been appointed to the Company’s Advisory Board and will assist the Company with corporate development. Advisory Agreements
The Company has issued 218,840 common shares, for the settlement of $12,500 in trade payables, for consulting services provided in Q4-2021, pursuant to pre-approved shares for services agreements. The services were provided by two advisors to the Company. Only one of these shares for services agreements will continue into 2022. The shares bear the minimum four-month regulatory hold period from the date of issuance.

Investor Relations
The Company has renewed its agreement with Momentum Public Relations Inc. (“Momentum PR”) for investor relations services for another six months through to July 31, 2022. Pursuant to the renewal agreement, Momentum PR will be granted 600,000 incentive stock options, pursuant to the Company’s shareholder approved Stock Option Plan. The incentive stock options have been granted in three tranches as follows: 200,000 options with an exercise price of $0.06, 200,000 options with an exercise price of $0.075, and 200,000 options with an exercise price of $0.09.
